Kurier Terms of Use

These Kurier Terms of Use (the "Terms") apply to your access to and use of the websites, platform, software, smart contracts, technologies, features, APIs, and other online products and services (collectively, the "Services") provided or made available by Horizen Labs, Inc. ("Horizen" or "we") in connection with Kurier, including the Kurier Random Hash Oracle Service, which may be deployed on supported blockchain networks in both testnet and mainnet environments.

For purposes of these Terms, "user", "you", and "your" means you as the user of the Services. If you use the Services on behalf of a company or other entity, then "you" includes you and that entity, and you represent and warrant that (a) you are an authorized representative of the entity with authority to bind the entity to these Terms, and (b) you agree to these Terms on the entity's behalf.

PLEASE READ THESE TERMS CAREFULLY AS THEY CONTAIN IMPORTANT INFORMATION AND AFFECT YOUR LEGAL RIGHTS. BY CLICKING TO ACCEPT, CONNECTING A WALLET, OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS AND ALL TERMS INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT AGREE, YOU MAY NOT ACCESS OR USE THE SERVICES.

YOUR PARTICIPATION IN TESTNET IS ENTIRELY VOLUNTARY, BUT IF YOU ARE PARTICIPATING IN TESTNET, YOU MUST STRICTLY ADHERE TO THESE TERMS. MAINNET USE IS A PRODUCTION SERVICE AND REMAINS SUBJECT TO THESE TERMS.

Privacy Policy

Please refer to our Privacy Policy for details on the information that Horizen may collect, use, and disclose and under what circumstances. You acknowledge and agree that your use of the Services is subject to this Privacy Policy.

Changes to Terms

Horizen may update the Terms at any time, at its sole discretion. If it does so, Horizen will deliver notice either by posting the updated Terms on its website or through other communications. It is important that you review any updated Terms. If you continue to use the Services after updated Terms are posted, you agree to be bound by them. If you do not agree, you may not use the Services.

Duration of the Testnet and Mainnet

Testnet will commence on the date prescribed by Horizen and continue until terminated by Horizen in its sole discretion ("Testnet Period"). You acknowledge that Testnet may be pre-production and subject to vulnerabilities.

Mainnet components of the Services may be modified, suspended, or discontinued at any time in our sole discretion. Notwithstanding any other information provided by Horizen regarding the Services (including on its website, social media, or through other communications), Horizen may change, discontinue, or terminate, temporarily or permanently, all or any part of the Services, at any time and without notice.

Eligibility

You may use the Services only if: (a) you are 18 years or older and capable of forming a binding contract; (b) you are not subject to sanctions or designated on any list of prohibited or restricted parties; and (c) you are not barred from using the Services under applicable law.

Ownership

The Services, including their "look and feel," proprietary content, information, smart contract infrastructure, APIs, and other materials, are the proprietary property of Horizen or its affiliates, licensors, or users, as applicable. You agree not to take any actions inconsistent with such ownership interests.

Horizen's name, logo, trademarks, and product or service names are the intellectual property of Horizen or its affiliates or licensors and may not be used without prior written permission.

Usage Data Analytics

Horizen may collect usage information regarding how users access and use the Services ("Usage Data") for purposes including analytics, troubleshooting, improvement, and administration of the Services. This may include the use of third-party service providers.

Security; Wallet

You are responsible for maintaining adequate security and control of any IDs, passwords, API keys, or wallet credentials used to access the Services. Horizen assumes no responsibility for losses resulting from compromise of your systems or wallet(s).

Horizen does not manage, store, or access private keys for your wallet(s) and cannot recover lost keys or wallets.

For Mainnet usage, you are responsible for any gas fees or network-level costs associated with your on-chain transactions unless expressly stated otherwise in writing.

Updates; Monitoring

Horizen may make improvements, modifications, or updates to the Services from time to time. Your continued use is subject to such updates. Horizen may monitor use of the Services to ensure compliance with these Terms and applicable law.

Nature of the Services

Kurier provides blockchain-based randomization and/or cryptographic proof verification infrastructure. Horizen verifies cryptographic properties as described in its documentation but does not verify your business logic, smart contract design, tokenomics, NFT mechanics, or end-user interactions. You are solely responsible for your application and compliance with all applicable laws, including consumer protection, gaming, gambling, AML, and digital asset regulations.

Protocol / Network Risks

You acknowledge that the Services rely on third-party blockchain networks and protocols (including Base and other supported networks). Horizen is not responsible for network congestion, forks, reorganization events, validator failures, outages, gas price volatility, or other protocol-level events beyond its control.

Intellectual Property Rights; Feedback

By using the Services, you do not gain ownership rights in them. All rights remain with Horizen. If you provide feedback, you grant Horizen a non-exclusive, transferable, worldwide, perpetual, irrevocable, royalty-free license to use such feedback for any purpose.

Prohibited Activities

You will not:

• Reverse engineer or attempt to derive the source code of the Services;
• Disrupt or interfere with other users or networks;
• Access accounts or data without authorization;
• Facilitate illegal activity, fraud, sanctions evasion, or rights violations;
• Sell or resell the Services without written authorization;
• Encourage others to violate these Terms.

Compliance with Laws

You agree to comply with all applicable laws and regulations in connection with your use of the Services. You are solely responsible for obtaining any necessary regulatory approvals or authorizations.

WARRANTY DISCLAIMERS

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND. HORIZEN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

YOU ACKNOWLEDGE THAT THERE ARE RISKS ASSOCIATED WITH USING BLOCKCHAIN TECHNOLOGY, INCLUDING SOFTWARE FAILURES, NETWORK DISRUPTIONS, SECURITY RISKS, AND PROTOCOL VULNERABILITIES. HORIZEN IS NOT RESPONSIBLE FOR LOSSES ARISING FROM SUCH RISKS.

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL HORIZEN OR ITS AFFILIATES BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOSS OF DIGITAL ASSETS.

HORIZEN'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).

Indemnification

You agree to indemnify and hold harmless Horizen and its affiliates from and against any claims arising out of or related to (a) your use of the Services; (b) your application or business model; (c) your violation of these Terms; or (d) your violation of any law or third-party rights.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Services shall be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Delaware before a single arbitrator. The Parties waive any right to a jury trial and to participate in a class action.

ANY CLAIM MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER IT ARISES OR IT IS PERMANENTLY BARRED.

General Terms

These Terms constitute the entire agreement between you and Horizen regarding the Services. If any provision is held invalid, the remaining provisions remain in full force and effect. Horizen's failure to enforce any provision does not constitute a waiver.
